Two ex-executives of Computer Associates International Inc. have been indicted in Brooklyn on accounting fraud charges, the Justice Department said.
The 10-count indictment, unsealed Wednesday, charges Sanjay Kumar, former chief executive officer and chairman of the board, and Stephen Richards, former head of worldwide sales, with securities fraud conspiracy, obstruction of justice and conspiracy to obstruct justice.
Additionally, Richards was charged with one count of perjury, and Kumar with one count of making false statements.
Stephen Woghin, the firm's ex-general counsel and senior vice president, pleaded guilty Wednesday to securities fraud conspiracy and obstruction of justice charges.
The company itself has been charged and has accepted responsibility for the illegal conduct of its former executives, adopted significant corporate reforms, agreed to continue its cooperation with the government's ongoing investigation and agreed to pay $225 million to compensate victims of the fraud as part of a deferred prosecution agreement, the department said.
The company will not be prosecuted if it adheres to the agreement.
